Every US state requires your company to keep a registered agent on file: a physical address in your formation state where legal notices and state mail can be delivered. The appointment runs for a year at a time, and it has to stay current for as long as the company exists.

Most founders meet that date in one of three ways. The renewal invoice arrives and they simply pay it. The invoice arrives at a price much higher than last year, and they start looking around. Or nothing arrives at all, because the card on file expired or the provider stopped chasing, and the appointment quietly lapses.

What a lapsed agent actually costs

With no agent on file, legal papers can be served on your company without ever reaching you, and a court can enter a default judgment in a case you never knew existed.

The state also marks the company as not in good standing, which is the status banks, lenders and marketplaces check before they approve anything. Left long enough, it ends in administrative dissolution. Reinstatement is usually possible, and it always costs more than the renewal would have.

Common questions

Can I switch agents in the middle of my current term?

Yes. You do not have to wait for a renewal date. It's a change-of-agent filing with the state: we prepare it, submit it, and take over once the state records the change. Whatever unused time is left with your old provider is between you and them, so check their refund policy before you cancel.

Does switching cost me anything with the state?

It depends on the state. Some accept a change of agent at no charge, others charge a small filing fee. We tell you the exact amount for your state before anything is submitted, on top of our flat annual fee.

My agent resigned. How long do I have?

States generally allow a window to appoint a replacement before the company stops being in good standing, and the length varies. Treat it as urgent rather than routine: until a new agent is on file, service of process can go unanswered. Send us the company name and state and we'll tell you where you stand.

Will my mail be interrupted during the switch?

The handover point is the date the state records the change, and from that moment anything new comes to us. Ask your current provider to forward anything that arrives before then, since we cannot collect mail from their address.

Is the registered agent address the same as a business address?

No, and it matters. The agent address is for legal notices and state correspondence, not for customers, suppliers, marketplaces or bank statements. For everyday business post you want a US mailing address, which is a separate service.

I didn't form my company with Brio. Can I still renew here?

Yes. We take over as registered agent for any US company, whoever formed it and wherever it was formed. Plenty of our agent clients came to us at renewal rather than at formation.
