Our services are administrative and consulting in nature. Unless specifically stated in a written engagement agreement, Brio does not provide legal representation, legal advice, or tax advice.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and truthful information.
  • Submit requested documents promptly.
  • Cooperate throughout the service process.
  • Ensure that your intended business activities comply with applicable laws.
  • Review all documents before submission where applicable.

Brio is not responsible for delays, rejections, or additional costs resulting from inaccurate, incomplete, misleading, or late information provided by the client.

4. Fees and Payment

Unless otherwise agreed in writing:

  • Full payment is required before work begins.
  • rices displayed on our website are subject to change without notice.
  • Government fees, state filing fees, IRS fees (where applicable), registered agent fees, address fees, courier charges, banking fees, trademark filing fees, and other third-party charges are separate from Brio’s professional service fees unless expressly included in your package.

All payments are made in the currency specified at checkout.

5. Refund Policy

We strive to maintain a fair and transparent refund policy.

Orders That Have Not Yet Started

You may cancel your order and receive a full refund only if Brio has not yet begun processing your request.

Generally, your order is considered not started if we have not:

  • Filed your company or entity with any government authority;
  • Purchased a registered office address or registered agent service;
  • Submitted an EIN, ITIN, trademark, or other government application;
  • Paid any government filing fees;
  • Paid any third-party vendor on your behalf;
  • Prepared customized legal or compliance documents; or
  • Performed any substantive work relating to your order.

If none of the above activities have begun, you are generally eligible for a full refund.

Orders Already in Progress

Once Brio has started processing your order, payments become non-refundable.

This includes situations where we have:

  • Filed your company;
  • Purchased a registered office address;
  • Activated a registered agent service;
  • Submitted applications to the IRS or other government agencies;
  • Submitted trademark applications;
  • Paid government or third-party fees;
  • Begun preparing customized documents; or
  • Performed professional work specific to your order.

Because these costs and services cannot be reversed or recovered, no refund will be issued once processing has begun.

6. Government Fees and Third-Party Costs

Government filing fees, registered agent fees, address fees, courier charges, notarization fees, banking fees, trademark filing fees, and other third-party expenses are non-refundable once incurred.

These charges are paid directly to third parties and cannot be recovered by Brio.

7. Banking Services Disclaimer

Brio assists clients with business bank account applications but does not own, operate, or control any financial institution and cannot guarantee account approval.

Every bank conducts its own compliance, Know Your Customer (KYC), Anti-Money Laundering (AML), and risk assessments.

A bank may reject an application for reasons that are confidential or unrelated to the quality of the application submitted.

If your preferred bank declines your application, Brio will make reasonable efforts to assist you in applying with an alternative banking partner where available.

If you choose not to proceed with an alternative solution after services have been performed:

  • Government fees;
  • Filing fees;
  • Registered agent fees;
  • Business address fees;
  • Courier charges; and
  • Other third-party costs

are non-refundable.

Where appropriate, Brio may refund only the unused portion of its own professional service fees after deducting the value of services already performed.

8. Processing Times

Any processing times displayed on our website, provided by our representatives, or included in quotations are estimated timelines only and are provided for informational purposes.

Actual processing times depend on various third parties, including but not limited to:

  • The Internal Revenue Service (IRS)
  • U.S. state filing offices
  • Secretaries of State
  • Trademark offices
  • Banks and financial institutions
  • Government agencies
  • Registered Agent providers
  • Courier and postal services
  • Other regulatory authorities

Because these organizations operate independently of Brio, we cannot guarantee approval dates, completion dates, or exact processing times.

Processing may take longer than estimated due to:

  • Government backlogs
  • Increased filing volumes
  • Compliance reviews
  • Requests for additional documentation
  • Public holidays
  • Technical issues
  • Changes in laws or government procedures
  • Bank compliance reviews
  • Circumstances beyond our reasonable control

Brio shall not be responsible for delays caused by government authorities, financial institutions, or third-party service providers.

9. Government Decisions

Brio cannot guarantee approval of:

  • Business formations
  • EIN applications
  • ITIN applications
  • Trademark registrations
  • Business licenses
  • Tax registrations
  • Bank accounts
  • Payment processor accounts
  • Marketplace accounts
  • Any other governmental or third-party approval

All decisions are made solely by the relevant authority or institution.

10. No Guarantee of Business Success

Brio assists with business formation and compliance services only.

We do not guarantee:

  • Business profitability
  • Tax savings
  • Investment returns
  • Approval of financing
  • Approval of visas
  • Marketplace approvals
  • Merchant account approvals
  • Future legal or tax outcomes

Business success depends on many factors outside our control.

11. Intellectual Property

All website content, including logos, branding, graphics, text, videos, software, layouts, and designs, is owned by Brio or licensed to Brio and is protected by applicable intellectual property laws.

No content may be copied, reproduced, distributed, or modified without our prior written permission.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Brio shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, business interruption, lost opportunities, loss of revenue, or loss of data arising from the use of our services.

In all cases, Brio’s maximum liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Brio, its officers, directors, employees, contractors, affiliates, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your misuse of our services;
  • Your breach of these Terms;
  • Information or documents you provide;
  • Your violation of any applicable law; or
  • Any dispute between you and a third party relating to your business

14. Suspension or Termination of Services

Brio reserves the right to refuse, suspend, or terminate services if:

  • False or misleading information is provided;
  • Fraudulent or unlawful activity is suspected;
  • Required documentation is not supplied;
  • A client engages in abusive, threatening, or inappropriate conduct toward our staff; or
  • Continuing the engagement would violate applicable laws or regulations.

Termination does not automatically entitle the client to a refund.

15. Privacy

Your use of our website and services is also governed by our Privacy Policy and Cookies Policy, which are incorporated into these Terms by reference.

16. Changes to Services

Brio reserves the right to modify, suspend, or discontinue any service at any time without prior notice where necessary for operational, legal, regulatory, or business reasons.

17. Force Majeure

Brio shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, labor disputes, internet outages, cyberattacks, governmental actions, changes in law, or failures of third-party service providers.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the services provided by Brio shall be subject to the exclusive jurisdiction of the state or federal courts located in the State of Texas.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Brio regarding your use of our website and services and supersede all prior discussions or agreements relating to the same subject matter.
